Terms of Service
These terms govern the use of Soom by the businesses that subscribe to it and by the people they invite. Please read them — particularly the sections on availability, liability and what happens to your data when you leave.
The short version
A summary for orientation. The full sections below are what binds.
- Your data stays yoursYou own everything you put into Soom. We process it to run the service and for nothing else.
- Paid in advance, no refundsSubscriptions are billed up front for the period. Cancel any time and you keep access until the period ends.
- No uptime guaranteeWe work hard to keep Soom up, but we do not offer a contractual SLA. If you need one, talk to us first.
- Liability is cappedOur total liability is limited to what you paid us in the preceding twelve months.
This agreement
This is an agreement between Remote Teams IT Solutions Private Limited (“Soom”, “we”) and the business that subscribes to the service (“you”, “the Customer”). By creating a workspace, signing an order form, or using the service, you accept these terms.
Employees and other individuals invited into a workspace also use Soom under these terms, but the contractual relationship — including payment and any right to terminate — is with the subscribing business, not with them.
Where you and we have signed a separate written agreement, that agreement takes precedence over anything inconsistent here.
What Soom provides
Soom is a hosted human resources platform covering attendance, leave, payroll, expenses, documents, recruitment and related workflows, delivered through a web application and mobile apps for Android and iOS. Which modules you get depends on your plan.
We improve the service continuously and may add, change or remove features. We will not materially reduce the core functionality of a plan you are paying for during a paid term without telling you first.
Soom computes statutory deductions — provident fund, ESI, professional tax and TDS — from the rules and rates you configure. It is a tool, not a substitute for professional advice. You remain responsible for the accuracy of your filings and for keeping your configuration current with the law.
Accounts and access
- You decide who gets access to your workspace and what role each person holds. You are responsible for those choices and for removing access when someone leaves.
- Accounts are personal. Credentials must not be shared, and each person who uses Soom needs their own account.
- You must keep credentials secure and tell us promptly if you believe an account has been compromised.
- You are responsible for what happens under your accounts, including anything done by someone you gave access to.
Your data
Everything you and your people put into Soom remains yours. We claim no ownership over it. We use it to operate the service for you, to provide support when you ask, and for nothing else — we do not sell it, do not use it for advertising, and do not use your workspace content to train machine-learning models.
For the personal data of your employees, you are the data fiduciary and we are your processor: we act on your instructions. You are responsible for having a lawful basis to collect what you collect, for telling your people what you are doing with it, and for honouring their requests about it. Our Privacy Policy describes how we handle it in practice, and forms part of these terms.
We keep backups for operational resilience. These are not a substitute for your own records, and we do not offer a contractual recovery-point or recovery-time commitment.
Acceptable use
You agree not to:
- use Soom in breach of any applicable law, including employment and data protection law
- upload malware, or attempt to breach, probe or disrupt the service or its security
- access another customer's workspace or data, or attempt to
- reverse engineer, resell, sublicense or white-label the service without our written agreement
- use the service to store data wholly unrelated to your own HR operations
- place unreasonable load on the platform through automated means
We may suspend access without notice where we reasonably believe there is a security risk, unlawful use, or a threat to the service for other customers. We will tell you why and restore access once it is resolved.
Availability and support
We aim to keep Soom available continuously and to keep planned maintenance outside business hours where we can. We do not offer a contractual uptime guarantee, service credits, or a guaranteed response time. If your business needs one, talk to us before you subscribe and we will discuss a separate agreement.
Support is provided by email at support@soom.co.in during business hours. We respond as quickly as we can and prioritise anything that blocks payroll or attendance.
The service depends on third parties — hosting, email delivery, push notification networks and mapping providers. An outage at one of those can affect Soom, and we are not liable for their failures.
Fees and payment
- Fees are those on your order form or the plan you selected, and are billed in advance.
- All fees are exclusive of GST and other applicable taxes, which are added at the prevailing rate.
- Where a plan is priced per employee, the charge is based on the number of active employees in your workspace during the billing period.
- Invoices are payable within the period stated on the invoice.
- Fees are non-refundable. If you cancel, you keep access until the end of the period you have paid for; we do not refund unused time.
- We may change pricing with at least 30 days' notice before your next renewal. Continuing to use Soom after that renews at the new price.
- If an invoice remains unpaid, we may suspend access after giving you notice and a reasonable opportunity to pay.
Intellectual property
Soom — the software, design, documentation and brand — belongs to us. Your subscription is a licence to use it, not a transfer of ownership, and it lasts as long as your subscription does.
If you send us feedback or suggestions, we may use them to improve the service without obligation or payment. This does not give us any right to your data.
Term, termination and what happens to your data
Subscriptions run for the period you selected and renew automatically unless cancelled before the renewal date. You may cancel at any time, effective at the end of the current period.
We may terminate for material breach that you have not fixed within 30 days of us telling you about it, or immediately for unlawful use.
After termination
- Access to the workspace ends.
- For 30 days, we will provide an export of your data on request — employees, attendance, leave, payroll and documents.
- After that window, we will delete your workspace data on written request and confirm when it is done. Until you ask, it remains in our systems: HR and payroll records are routinely needed after an account closes, and deleting them by default would do more harm than good.
- Backups age out on their own cycle, and records we are required by law to retain are kept for the period the law requires.
Warranties
We provide Soom with reasonable skill and care. Beyond that, and to the fullest extent the law allows, the service is provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability and non-infringement.
We do not warrant that the service will be uninterrupted or error-free, or that its statutory calculations will match every interpretation of every rule in every jurisdiction you operate in.
Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or anticipated savings, however caused.
Our total aggregate liability arising out of or relating to these terms is limited to the amount you paid us in the twelve months immediately before the event giving rise to the claim.
Nothing here limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited under Indian law.
Indemnity
You will indemnify us against claims brought by a third party — including your own employees or a regulator — arising from your use of Soom in breach of these terms or of applicable law, or from data you put into the service that you had no right to collect or process.
Changes
We may update these terms as the service and the law evolve. The date at the top always reflects the current version. For material changes we will give workspace administrators at least 30 days' notice by email, and the change takes effect at your next renewal. If you do not accept it, you may cancel before it applies.
Governing law
These terms are governed by the laws of India. The courts at Hyderabad have exclusive jurisdiction, and both parties submit to it.
If any provision is found unenforceable, the rest continues in force and that provision is read down to the minimum extent necessary.
